Enabled seamless CRD VI Article 21c compliance across a global deal origination ecosystem

A leading global investment bank needed to strengthen compliance with Capital Requirements Directive VI (CRD VI) Article 21c without disrupting cross-border deal execution. The regulation required greater validation of booking strategies, documented regulatory exemptions, and alignment with local jurisdictional requirements. The bank’s existing deal origination environment lacked an integrated compliance framework, creating manual effort for frontline bankers and increasing regulatory execution risk. LTM modernized the bank’s centralized deal origination platform with intelligent compliance workflows, enabling automated validation, documentation, approvals, and booking decisions while maintaining a consistent banker experience across global markets.

LTM transformed CRD VI compliance from a fragmented manual process into a connected digital workflow. The centralized validation solution integrated with the bank’s deal origination and compliance ecosystem, enabling bankers to assess regulatory requirements, validate exemptions, determine booking strategies, and manage documentation through guided workflows. The solution also automated approval routing and strengthened traceability across the compliance lifecycle. By embedding these capabilities into existing workflows, LTM helped the bank strengthen regulatory controls without slowing deal execution or disrupting established ways of working.

Our Client

The client was a leading global investment bank serving corporate, institutional, and financial clients across multiple markets. Its investment banking operations managed complex cross-border transactions across multiple legal entities and more than 25 investment banking product families. The bank’s Centralized Management Environment (CME), built on Microsoft Dynamics, enabled bankers to structure, validate, and book transactions. As regulatory requirements evolved, the bank needed integrated compliance capabilities without compromising operational efficiency or the banker experience.

Challenges

The bank faced significant operational challenges as it prepared for CRD VI Article 21c:

  • Manual reverse-solicitation audits: Bankers had to manually collect and document evidence when EU prospects-initiated contact, adding compliance work to frontline activities.
  • Loss of outbound pipeline: Relationship managers in the UK, US, Asia, and other non-EEA markets had to remove EU-based multinationals from active outbound sales pipelines, restricting business development.
  • Cross-border deal disruption: Without automated routing to navigate CRD VI requirements, cross-border deal execution stalled across jurisdictions.
  • Manual report compilation: Bankers spent significant desk time querying client data and compiling information for enhanced risk disclosures.
  • Rising administrative overhead: Frontline teams shifted time from relationship management to data entry and compliance activities, reducing capacity for deal execution.

These pressures also created material revenue exposure. Traditional frontline deals, including advisory, broking, and corporate finance underwriting, fell under Net Fee Income, which totaled £1,227 million across the bank’s segments in 2025. Similar 2026 revenue was exposed to CRD VI-related disruption.

LTM's Solution

LTM deployed a centralized CRD VI validation solution that connected the bank’s deal origination and compliance ecosystem. It unified regulatory validation, documentation, approvals, and compliance tracking through a guided digital experience while minimizing disruption to existing business processes.

The solution enabled bankers to assess deals against CRD VI Article 21c requirements, identify applicable exemptions, and determine booking strategies based on client jurisdiction and regulatory obligations. It integrated with the Centralized Management Environment (CME), Titan, and Deal Creation Platform (DCP), allowing bankers to complete compliance activities within existing workflows.

Dynamic workflows guided regulatory decision-making and validated exemptions and booking strategies against local EEA regulations. The platform captured supporting evidence, business justifications, and regulatory documentation before securely routing them to legal, risk, and compliance systems for review and approval.

Sensitive client information was automatically redacted before downstream processing, while compliance responses were synchronized back to the deal origination platforms. This provided end-to-end visibility and traceability across the approval lifecycle. The solution also supported standalone access when integration timelines required greater deployment flexibility.

Together, these capabilities created a consistent compliance experience across jurisdictions while keeping regulatory activities within established banker workflows. The approach strengthened governance, reduced manual intervention, and supported compliant deal execution at global scale.
